1. Agreement to Terms
1.1 These Terms of Use ("Terms") constitute a legally binding agreement between you ("You" or "User"), either individually or on behalf of a legal entity, and AppStaff, regarding your access to and use of the platform located at https://appstaff2.zhigunovsystems.com ("Platform") and any services provided therein ("Services"). By accessing or using the Platform, You expressly acknowledge that You have read, understood, and agree to be bound by these Terms. If You do not agree to these Terms, You must discontinue use immediately.
1.2 The Platform is exclusively intended for legal entities, businesses, organizations, and individual entrepreneurs seeking to connect for staffing, project management, and related commercial purposes. Individuals acting in personal or non-business capacities may not use the Platform.
1.3 AppStaff reserves the right to amend, modify, or update these Terms at any time without prior notice. Any changes become effective immediately upon publication on the Platform. Your continued use of the Platform after the amendments constitutes acceptance of the updated Terms.
2. Access and Use of the Platform
2.1 General browsing and information access on the Platform is provided free of charge. However, registration is required to utilize the Platform’s full functionality, including posting or responding to projects, communicating with other Users, and engaging in commercial interactions.
2.2 You agree not to access the Platform through automated means, including but not limited to bots, scripts, spiders, or data-mining software.
3. User Accounts and Registration
3.1 Registration is restricted exclusively to legal entities, companies, partnerships, individual entrepreneurs, and authorized representatives acting on their behalf. AppStaff reserves the right to verify all information provided during registration.
3.2 You warrant and represent that all registration information provided is accurate, truthful, complete, and current, including but not limited to your legal entity name, registration number, official contact information, and authorized representative details. You agree to promptly update this information as necessary.
3.3 You are responsible for safeguarding your account credentials and ensuring that only authorized personnel access your account. You agree to immediately notify AppStaff of any unauthorized access or suspicious activities related to your account.
4. Role of the Platform and Disclaimer
4.1 AppStaff operates solely as an online intermediary that facilitates communication and commercial interactions between Users. AppStaff does not enter into any contract between Users, nor does it participate in any commercial arrangements or transactions made by Users outside the Platform.
4.2 All transactions, negotiations, agreements, and their execution are the exclusive responsibility of Users. AppStaff expressly disclaims any liability or involvement in disputes between Users.
5. Platform Commission and Commercial Obligations
5.1 AppStaff charges a commission of 1% (one percent) of the total transaction value for each agreement or contract concluded between Users that originated from contacts established on the Platform.
5.2 Payment of this commission is a mutual responsibility of both the contracting parties—specifically, the User requesting services ("Customer") and the User providing staffing or other services ("Supplier"). Both parties must ensure the commission is fully paid, with the total commission being precisely 1% of the transaction value.
5.3 Payment of the commission is due immediately upon the conclusion of the agreement between Users or no later than 10 calendar days after the agreement has been reached.
5.4 Users are obligated to inform AppStaff of any agreement or transaction resulting from the use of the Platform, specifying transaction details such as value, duration, and scope of services upon request.
5.5 Failure to report a transaction, attempts to circumvent the Platform, or refusal to pay the commission constitute material breaches of these Terms and may result in immediate account suspension, imposition of penalties, or legal action.
6. User Content and Responsibilities
6.1 You bear sole responsibility for any content, information, or materials You submit, post, upload, or otherwise share on the Platform, ensuring it is accurate, lawful, and does not infringe upon any third-party rights.
6.2 By submitting content to the Platform, You grant AppStaff an irrevocable, worldwide, royalty-free, non-exclusive license to use, store, display, modify, reproduce, and distribute your content solely for the purpose of providing and promoting the Platform.
6.3 You explicitly agree not to submit any content that is unlawful, defamatory, misleading, discriminatory, abusive, obscene, or infringes upon the rights of third parties.
7. Acceptable Use and Restrictions
7.1 You agree not to misuse the Platform by:
- • Engaging in illegal activities;
- • Sending spam or harmful files;
- • Collecting information from other Users without explicit consent;
- • Misrepresenting your identity or association with any entity.
7.2 AppStaff reserves the right to suspend or terminate accounts and remove any content that violates these acceptable use standards.
8. Account Termination and Suspension
8.1 AppStaff may suspend or terminate your account or restrict access to the Platform at its discretion if You violate any provision of these Terms or applicable laws.
8.2 Upon termination, You remain responsible for fulfilling outstanding obligations, including unpaid commissions.
9. Intellectual Property Rights
9.1 All intellectual property rights in the Platform’s content, software, trademarks, designs, and databases are owned or licensed exclusively by AppStaff. Unauthorized use or reproduction of such materials is strictly prohibited.
9.2 Users retain ownership of their submitted content but grant AppStaff necessary licenses to display and utilize such content within the Platform.
10. Data Protection and Privacy Compliance
10.1 Your use of the Platform is governed by our Privacy Policy, incorporated herein by reference.
10.2 AppStaff adheres to GDPR and all relevant data protection laws effective in 2025, including provisions related to automated decision-making, AI-profiling, and cross-border data transfers.
11. Governing Law and Dispute Resolution
11.1 These Terms shall be governed exclusively by the laws of [Jurisdiction]. Any disputes arising from these Terms shall be resolved exclusively by competent courts of [Jurisdiction].
